1. Definitions and interpretation
1.1 In this document: "IDTraders", "we", "us" and "our" mean the operator of the platform named in clause 2.1; "you" and "client" mean the person who opens or uses an account; "platform" means the website at idtraders.com, the client portal, the trading terminal, the copy engine, the wallets and every related service; "account" means the client account you open on the platform; "wallet" means any balance held for you on the platform, including the main wallet, the copy wallet and any locked or package balance; "master trader" or "master" means a client whose trades are made available for copying; "copy" means the mirroring of a master's trades into your wallet; "package" means a commitment package as described on the platform; "IB" means an introducing broker enrolled in the IB program; "documents" means these Terms, the Risk Disclosure, the Package Terms, the AML & KYC Policy, the Privacy Policy and the Cookie Policy, each as amended from time to time.
1.2 Headings are for convenience only. "Including" means "including without limitation". References to a clause are to a clause of these Terms unless stated otherwise. Where a document is more specific than these Terms on a point, the more specific document applies to that point; otherwise these Terms prevail.
1.3 All times are GMT (UTC+0) unless stated otherwise. A "business day" is a day other than a Saturday, a Sunday or a day on which the platform publishes a closure. A "calendar day" runs from 00:00:00 to 23:59:59 GMT.
1.4 These Terms are written in English. A translation is provided for convenience only; the English text prevails where they differ.
2. The parties and the service
2.1 The platform is operated by IDTraders ("IDTraders"). Where a licensed entity, its registration details and its regulator are published on the Legal & Licensing page, that entity is the party to this agreement from the date of publication and these Terms are read accordingly.
2.2 IDTraders provides a social trading platform on which registered clients may hold wallet balances, trade the instruments made available on the platform, follow master traders whose trades are mirrored into the client's own wallet, take commitment packages and participate in the IB program.
2.3 IDTraders is a platform, not an adviser, broker-dealer, fund manager or custodian of client assets held outside the platform. IDTraders does not manage your money, does not select masters for you, does not give investment advice and does not guarantee any outcome.
2.4 IDTraders may add, change, suspend or withdraw any instrument, product, feature, master, package tier, program table or service at any time. Where a change affects a running package, the Package Terms say what happens.
2.5 The services are provided "as is" and "as available". Nothing in these Terms obliges IDTraders to keep any service, instrument or feature available for any period.
3. Our discretion and the finality of decisions
3.1 Every decision, determination, assessment, classification, calculation and interpretation that IDTraders makes in operating the platform is made at its sole and absolute discretion. This includes, without limitation, decisions on: opening, verifying, restricting, suspending or closing an account; accepting, holding, delaying, returning or refusing a deposit or withdrawal; accepting, rejecting, correcting or reversing an order, trade, copy, settlement or balance; the status, statistics, rank, profit share and continued listing of a master; the eligibility, rank, commission, reward and position in the referral tree of an IB; the terms, ending and early-exit conditions of a package; the outcome of a complaint, discrepancy or dispute; whether conduct is prohibited; and the meaning of any document.
3.2 IDTraders' decision on any matter within clause 3.1 is final and binding on you. IDTraders is not obliged to give reasons for a decision, to disclose the information on which it was based, or to hear representations before making it, although it may choose to do so.
3.3 The platform's records — including account records, trade logs, wallet transactions, copy records, commission calculations, price data and communications — are conclusive evidence of the facts they record. Where your records or recollection differ from the platform's records, the platform's records prevail.
3.4 IDTraders may exercise any right under the documents, or decline to exercise it, in whole or in part, at any time, and may apply a rule strictly in one case and leniently in another without that creating any expectation or entitlement.
3.5 Where a document gives IDTraders a discretion, a right to refuse, a right to determine or a right to change, that discretion or right is unfettered unless the document expressly says otherwise.
3.6 Nothing in this clause prevents you from using the complaints procedure in clause 19. A decision reviewed under that procedure and confirmed by IDTraders is final.
4. Changes to the platform, the products and the documents
4.1 IDTraders may at any time, for any reason, with or without notice, and with immediate effect unless it states otherwise: add, change, suspend, restrict or withdraw any instrument, market, leverage, spread, price source, trading rule, limit, market hour or closure; add, change, suspend or withdraw any master, master rule, statistic, ranking or listing; add, change or withdraw any package tier, term, profit share, early-exit condition or other condition for new packages; add, change, suspend or withdraw any IB program, program table, commission rate, rank, threshold, reward, salary, tour, bonus or qualification rule; add, change or withdraw any fee, charge, minimum, maximum, limit, processing time or payment method; add, change, suspend or withdraw any feature, page, tool, integration or service of the platform; and change the design, software, hosting, provider, domain or technology of the platform.
4.2 IDTraders may amend any of the documents at any time by publishing the amended version on the platform. The amended version applies from the date shown on it. Where IDTraders considers a change material it will notify you by e-mail or portal notice, but a failure to notify does not affect the validity of the change. Your continued use of the platform after a change is your acceptance of it; if you do not accept a change you must stop using the platform and close your account under clause 23.1.
4.3 A change under this clause applies to your account, wallets, positions, copies, commissions and future activity from the moment it takes effect. A running package keeps the terms it was confirmed with unless the Package Terms provide otherwise; an open position or copy is subject to the rules in force at each moment of its life, including any change to margin, stop-out, limits or hours.
4.4 No change under this clause gives rise to any claim against IDTraders, whether for loss of profit, loss of opportunity, cost, inconvenience or otherwise, and no change is a breach of the documents.
4.5 IDTraders may discontinue the platform in whole or in part, or in any country, at any time. Where it does so it will allow a reasonable period for you to close positions and withdraw balances, subject to any hold required by law, by a package or by an open review.
5. Eligibility
5.1 You may open an account only if you are at least 18 years old, or older where the law of your country sets a higher age of majority; you have full legal capacity to enter into a binding agreement; you are not a resident or citizen of a restricted jurisdiction as described in the Risk Disclosure or the AML & KYC Policy; you are not acting on behalf of another person; and you are not a person with whom IDTraders is prohibited from dealing under any sanctions regime.
5.2 You may hold one account. Opening or controlling more than one account, whether in your own name or through another person, without IDTraders' written permission is a breach of these Terms.
5.3 IDTraders may refuse to open an account, or may close an account already opened, at its discretion and without giving a reason.
5.4 By opening an account you represent and warrant that every statement in this clause 5 is true on the day you register and on every day you use the platform, and that you will tell IDTraders promptly if any of them stops being true.
6. Account opening, verification and security
6.1 To open an account you must provide the information requested on the registration form, including a valid e-mail address that you control. You must keep your information accurate and up to date.
6.2 Identity verification (KYC) is governed by the AML & KYC Policy. You must complete verification before your first withdrawal and whenever IDTraders asks you to. IDTraders may hold deposits, withdrawals, copies, commissions and any other activity on the account until verification is complete to its satisfaction.
6.3 You are responsible for keeping your login credentials, e-mail account, device and any authentication code confidential. Every action taken through your account with your credentials is treated as taken by you, whether or not you authorised it, until you have told IDTraders in writing that your credentials have been compromised and IDTraders has had a reasonable time to act.
6.4 You must tell IDTraders immediately at support@idtraders.com if you know or suspect that your account has been accessed without your authority.
6.5 IDTraders may require additional security measures, including two-factor authentication, at any time, and may suspend an account that does not meet them.
6.6 You must not permit any other person to use your account, and you must not use another person's account.
7. Wallets, deposits and withdrawals
7.1 Your balances are recorded in the wallets shown in your account. Balances are records on the platform; they are not bank deposits and are not insured by any deposit-guarantee scheme.
7.2 Deposits are accepted only in the cryptocurrencies and on the networks shown on the deposit page at the time of the deposit. A deposit sent in another asset, on another network, to a wrong address, or without a required memo or tag may be lost permanently, and IDTraders has no obligation to recover or credit it.
7.3 A deposit is credited after the number of network confirmations set by the platform. IDTraders may set minimum and maximum deposit amounts and may reject or return a deposit that does not meet its rules or that it cannot attribute to a verified account.
7.4 Withdrawals are made only to a cryptocurrency address that you provide in your account. You are solely responsible for the accuracy of that address, the network selected and the wallet or exchange behind it. A withdrawal paid to the address you provided is complete and discharges IDTraders in full.
7.5 Withdrawals are processed within the times published in your account. IDTraders may delay, hold or refuse a withdrawal where verification is incomplete, where a security or fraud review is open, where a suspicious-activity review is open, where a legal, regulatory or court requirement applies, where the request breaches a limit, where a loan, floor, package or other lock applies to the funds, where a technical problem prevents processing, or where IDTraders reasonably suspects a breach of these Terms.
7.6 Network fees and any withdrawal fee published on the platform are deducted from, or charged in addition to, the amount requested as stated on the withdrawal page at the time of the request.
7.7 Third-party payments are not accepted. Funds must come from, and be returned to, sources under your own control. IDTraders may return funds to the address they came from where it cannot establish that the source is yours.
7.8 IDTraders may set, publish and change deposit and withdrawal minimums, maximums, daily limits and processing windows.
7.9 Where a wallet is credited in error, by IDTraders or by any third party, the amount credited remains the property of IDTraders and IDTraders may reverse it, deduct it from any balance you hold, or recover it from you.
7.10 An account with no login and no activity for twelve consecutive months may be treated as dormant. IDTraders may charge a published dormancy fee, close open copies, and, after reasonable attempts to contact you, return any remaining balance to the last known deposit source or hold it until you claim it.
8. Trading on the platform
8.1 You may open, modify and close positions in the instruments and at the leverage made available on the platform, within the limits shown in your account and during the market hours published on the platform.
8.2 Every order is an instruction to IDTraders to execute at the price available on the platform at the moment of execution. Prices on the platform are drawn from third-party sources and may differ from prices elsewhere. IDTraders does not warrant that any price is the best available.
8.3 IDTraders may reject, delay, partially fill or cancel any order, and may close any position, where the market is closed, where the price is unavailable or manifestly wrong, where your balance or margin is insufficient, where a limit applies, where a technical fault affects the platform, or where IDTraders reasonably believes the order results from an error, abuse or market manipulation.
8.4 IDTraders may correct or reverse a trade executed at a manifestly wrong price, on a manifestly wrong quantity, or as a result of a technical fault, and may adjust the affected balances accordingly.
8.5 Stop-loss, take-profit and stop-out levels are triggered by the platform's price and processed on the platform's cycle. Execution at the exact level is not guaranteed; in a fast or gapping market the fill can be worse than the level set.
8.6 Margin and stop-out rules are published on the platform. When your equity falls below the stop-out level the platform may close some or all of your positions without notice.
8.7 IDTraders may impose limits on position size, exposure, leverage, number of orders and frequency of orders, per client and per instrument, and may change them at any time.
9. Copy trading
9.1 By following a master you instruct the platform to mirror that master's trades into your wallet in proportion to your allocation, until you stop the copy, your stop-loss is reached, the platform stops the copy under these Terms, or the master stops trading.
9.2 The decision to follow a master, the allocation, the stop-loss and every other setting are yours alone. IDTraders does not recommend masters and is not responsible for the performance of any master or copy.
9.3 Copies are executed after the master's trade and at the price available to your wallet at that moment. Your result will differ from the master's because of timing, price, allocation size, available balance, your stop-loss and the platform's rules. Rounding may prevent very small allocations from mirroring every trade.
9.4 The platform may reduce, reject, pause or close a copy where your balance is insufficient, where a limit applies, where the master is suspended or removed, where the market is closed, where a technical fault affects the copy engine, or where IDTraders reasonably believes abuse is occurring.
9.5 Profit sharing between you and a master is applied automatically on the terms published on the platform at the time the copy is opened, as described in the Profit sharing pages and, for packages, in the Package Terms.
9.6 Stopping a copy closes the mirrored positions at the price then available and returns the remaining allocation to your copy wallet, less any profit share due and any early-exit deduction that applies under the Package Terms.
9.7 IDTraders may stop any copy and close any position where a master is suspended, removed, in breach of the master rules, or where the platform's rules require it. No compensation is payable for a copy stopped under this clause.
10. Master traders
10.1 A client may apply to become a master. IDTraders may accept or refuse an application at its discretion and may attach conditions.
10.2 A master must trade in the manner described on their profile, must not misrepresent their strategy, results or risk, must not coordinate trades with followers or other masters outside the platform, and must comply with the master rules published on the platform.
10.3 A master's profile statistics are calculated by the platform from platform records and may be corrected or restated at any time.
10.4 A master's profit share is paid on realised profit only, on the terms published at the time each copy is opened, and may be withheld, reduced or reversed where trades are corrected, where abuse is found or where these Terms are breached.
10.5 IDTraders may warn, restrict, suspend or remove a master at any time, with or without notice, and may close all copies of that master. A removed master has no claim against IDTraders for lost profit share.
11. Commitment packages
11.1 A package locks a copy allocation for a fixed term in return for the profit share published for that tier. The Package Terms govern packages and prevail over this clause.
11.2 By confirming a package you accept the term, the lock, the profit share, the early-exit conditions and every other condition shown at the moment of confirmation.
11.3 Locked funds are not available for withdrawal, transfer or other use until the term ends or the package is ended under the Package Terms.
11.4 IDTraders may change the tiers, terms and profit shares offered for new packages at any time; a running package keeps the terms it was confirmed with unless the Package Terms provide otherwise.
12. Introducing Broker program
12.1 A client may join the IB program on the terms published on the platform. IDTraders may accept, refuse, restrict or terminate participation at its discretion.
12.2 IB commissions are calculated by the platform on the activity of referred clients in accordance with the program table applying to you, and are credited to your IB wallet as the platform records them. Commission rates, tables, ranks, rewards, thresholds and qualification rules may be changed by IDTraders at any time with effect from the date of the change.
12.3 An IB must not make any statement about IDTraders, its services, its masters, its returns or its licensing that is untrue, misleading or not authorised by IDTraders; must not promise or imply guaranteed returns; must not offer clients any inducement not published by IDTraders; must not refer themselves, family members or accounts they control without disclosure; and must comply with the laws applying to marketing financial services in each country in which they operate.
12.4 IDTraders may withhold, reverse, claw back or set off any commission, reward, salary, tour, bonus or other benefit where a referred client's trade is corrected or reversed, where a deposit is charged back or returned, where the platform detects wash trading, self-referral, fake accounts, bonus abuse, coordinated abuse or any other manipulation, or where the IB breaches these Terms.
12.5 Ranks are earned by meeting the published conditions and are lost when they cease to be met. A rank, reward or benefit is not vested until it has been paid or delivered, and IDTraders may adjust it before then.
12.6 IDTraders may re-assign, shift or correct the position of any client in a referral tree where the tree has been entered in error, has been manipulated or has become inconsistent, and may do so without compensation.
13. Fees, profit sharing and charges
13.1 The fees, spreads, profit shares, early-exit deductions and other charges that apply to you are those published on the platform at the time the relevant action is taken. IDTraders may change them at any time with effect for new actions.
13.2 Charges are deducted automatically from the relevant wallet. You authorise IDTraders to deduct any amount you owe under the documents from any balance you hold on the platform, in any wallet, without further notice.
13.3 Where a balance is insufficient to cover an amount owed, the shortfall is a debt due from you to IDTraders, recoverable from any later deposit, credit or commission.
13.4 You are responsible for any tax on your activity. IDTraders does not withhold or report tax on your behalf unless required by law.
14. Prohibited conduct
14.1 You must not: open or control more than one account; provide false, incomplete or misleading information; use the platform on behalf of, or with funds belonging to, another person; deposit funds obtained unlawfully; use the platform to launder money, evade sanctions or finance terrorism.
14.2 You must not: manipulate or attempt to manipulate any price, master statistic, ranking, leaderboard or program metric; engage in wash trading, self-dealing, coordinated trading between accounts, latency or arbitrage abuse of price feeds, or exploitation of any error, delay or malfunction of the platform; or take any position with the intention of exploiting a manifest error in pricing.
14.3 You must not: use any robot, script, scraper, automated system or unauthorised software to access the platform; interfere with the platform's security, code, data or operation; probe, scan or test the platform for vulnerabilities without written permission; or copy, reproduce, frame or redistribute any part of the platform.
14.4 You must not: abuse, threaten or harass IDTraders staff, masters, IBs or other clients; publish false or defamatory statements about IDTraders; or use the platform in any way that breaches the law of any country from which you access it.
14.5 You must not initiate a payment reversal, dispute or chargeback in respect of any deposit. If you do, IDTraders may freeze your account, treat the disputed amount as a debt, and recover it together with any cost incurred.
14.6 Where IDTraders reasonably believes that any prohibited conduct has occurred, it may, without notice and without prejudice to any other right: freeze the account and any wallet; close positions and copies; reverse, cancel or adjust trades, commissions, rewards and balances; forfeit profits derived from the conduct; withhold withdrawals until its review is complete; terminate the account; report the conduct to authorities; and recover any loss it has suffered from any balance you hold or from you directly.
15. Availability, maintenance and third-party services
15.1 IDTraders will use reasonable efforts to keep the platform available, but does not warrant uninterrupted, timely, secure or error-free operation.
15.2 IDTraders may suspend the platform or any part of it for maintenance, upgrades, security, regulatory or operational reasons, with or without notice.
15.3 The platform depends on services provided by third parties, including price and data feeds, blockchain networks, exchanges, hosting, e-mail and telecommunications. IDTraders is not responsible for the availability, accuracy, timeliness or security of any third-party service, or for any loss caused by its failure.
15.4 You are responsible for your own device, software, internet connection and security, and for any loss caused by their failure or compromise.
16. Intellectual property
16.1 The platform, its software, design, text, graphics, data, statistics, trademarks and logos are owned by or licensed to IDTraders and are protected by intellectual-property laws. You are granted a personal, revocable, non-exclusive, non-transferable licence to use the platform for its intended purpose while your account is open.
16.2 You must not copy, modify, reverse-engineer, decompile, distribute, sell, sub-license or create derivative works from any part of the platform, and must not use IDTraders' name, marks or content in any marketing, website or communication without written permission, except as expressly permitted in the IB program materials.
16.3 Any feedback, suggestion or idea you give IDTraders may be used by IDTraders without restriction or payment.
17. Communications and notices
17.1 You agree to receive communications from IDTraders electronically, by e-mail to the address on your account, by message in the portal, or by notice on the platform. A communication is deemed received when sent by e-mail or posted in the portal.
17.2 Notices from you to IDTraders must be sent to support@idtraders.com from the e-mail address registered on your account. A notice is effective when IDTraders acknowledges it.
17.3 IDTraders may record and retain every communication between you and IDTraders, including e-mail, chat and support tickets, and may use them as evidence.
17.4 You consent to receive service, security and product communications. You may unsubscribe from marketing communications at any time; service communications cannot be unsubscribed from while the account is open.
18. Data and privacy
18.1 IDTraders collects, uses, stores and shares your personal data as described in the Privacy Policy and the Cookie Policy, which form part of the documents.
18.2 You consent to IDTraders sharing your data with verification providers, payment and blockchain services, hosting and e-mail providers, professional advisers, regulators, law-enforcement bodies and courts where IDTraders considers it necessary to operate the platform, comply with the law or protect its rights.
19. Complaints and discrepancies
19.1 If you are dissatisfied with any aspect of the service, or believe any record on the platform is wrong, contact support@idtraders.com with "Complaint" or "Discrepancy" in the subject line and the details described on the Complaints page. IDTraders acknowledges every complaint within 48 business hours and answers it in writing.
19.2 IDTraders investigates every discrepancy in good faith against the account records, trade logs, wallet transactions and price data of the time. Where the platform's own record is found to be wrong, IDTraders corrects it and restores the affected balance to the position it would have been in had the error not occurred. That correction is the full and only remedy for a platform error.
19.3 Any problem concerning a price, an execution, a copy, a stop-out or a settlement must be reported on the same calendar day (GMT) on which it occurred. Any problem concerning a deposit or withdrawal must be reported as soon as you become aware of it and in any event within seven days of the transaction. A report received later will be considered, but IDTraders may be unable to investigate it, is not obliged to correct it, and accepts no responsibility for a loss that could have been prevented or reduced had the problem been reported in time.
19.4 The platform's records are conclusive evidence of every transaction, balance, trade, copy, commission and communication unless shown to be wrong on the balance of probabilities.
19.5 A complaint or discrepancy does not suspend your obligations. Open positions continue to run, packages continue to lock, and amounts due continue to be due while a report is reviewed.
20. Assumption of risk
20.1 You acknowledge and agree that trading and copy trading in leveraged instruments is speculative, carries a high risk of loss and is not suitable for everyone; that you may lose all of the funds you allocate to any position, copy or package, and in a fast market more than you expected when you set a stop; that past performance of any master, strategy, instrument or the platform is no guide to the future; and that no statement by IDTraders, a master, an IB or any other person is a guarantee of any result.
20.2 You assume, and IDTraders does not bear, every risk described in the Risk Disclosure and every other risk inherent in trading, copy trading, committing funds to a package, holding balances in cryptocurrency, transferring cryptocurrency on public networks, participating in the IB program and using an internet-based platform. Every decision to deposit, trade, follow, allocate, lock, join, withdraw or refrain from doing any of those things is yours alone, made on your own judgement, and you bear its consequences in full.
20.3 You confirm that you have the knowledge and experience to understand the products, that you have taken any professional advice you consider necessary, that you are financially able to bear a total loss of the funds you deposit, and that you have not relied on any statement by IDTraders or any person acting for it in deciding to use the platform.
20.4 IDTraders is not responsible for your trading results, for the results of any copy, package or program, for the conduct of any master or IB, for the performance of any market, or for any decision you make or fail to make, and you release IDTraders from any claim in respect of them to the fullest extent permitted by law.
21. Limitation of liability
21.1 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the law that applies to you.
21.2 Subject to clause 21.1, and to the fullest extent permitted by law, IDTraders, its owners, directors, employees, contractors, agents and affiliates are not liable to you, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for: any loss arising from trading or copy trading, including loss of funds allocated, loss of profit, missed profit or missed opportunity; any loss arising from a movement in price, a gap, a lack of liquidity, a stop-loss executed at a different level or a stop-out; any act, omission, strategy, decision, performance or conduct of a master trader, an IB or any other client; any delay, error, failure, interruption or inaccuracy in a price feed, market data, blockchain network, exchange, hosting service, telecommunications service, your device or your internet connection; any loss arising from the security of your account, e-mail or device, from a transfer sent to a wrong address or network, or from a withdrawal paid to the address you provided; any change in law, regulation, tax or the availability of a market or instrument; any event beyond IDTraders' reasonable control, including outages, cyber-attacks, market closures, government action, civil disturbance and natural events; or any indirect, incidental, special, consequential or punitive loss of any kind, whether or not foreseeable and whether or not IDTraders was told it might occur. Where the law that applies to you does not allow a liability described in this clause to be excluded, that liability is limited to the correction of the platform record described in clause 19.2, and where a money remedy is nonetheless required by that law, the total liability of IDTraders and of every person named in this clause to you, for all claims of any kind arising in any twelve-month period, taken together, shall not exceed one thousand United States dollars (USD 1,000), which you agree is a reasonable limit having regard to the nature of the service and the charges made for it.
21.3 IDTraders gives no warranty, express or implied, as to the platform, its availability, its accuracy, its fitness for any purpose, or the results of any trade, copy, package or program, and all warranties implied by law are excluded to the fullest extent permitted.
22. Indemnity
22.1 You agree to indemnify and hold harmless IDTraders and the persons named in clause 21.2 against any loss, liability, cost, claim, penalty or expense, including reasonable legal costs, that any of them suffers or incurs as a result of: your breach of any of the documents; your unlawful use of the platform; any inaccurate or incomplete information you provided; any claim brought against IDTraders by a third party in connection with your account, your activity or your conduct as a master or an IB; any tax, levy or charge arising from your activity; or any payment reversal, dispute or chargeback initiated by you or on your behalf.
22.2 This indemnity survives the closure of your account and the termination of these Terms.
23. Suspension and termination
23.1 You may close your account at any time by written notice to support@idtraders.com, provided that all copies are stopped, all packages have ended or been ended under the Package Terms, all amounts due to IDTraders have been paid and verification is complete. Any remaining balance is then paid to your withdrawal address.
23.2 IDTraders may suspend or terminate your account, in whole or in part, at any time, with or without notice, where you breach any of the documents, where IDTraders reasonably suspects prohibited conduct, where required by law, regulation or a competent authority, where verification cannot be completed, where the account is dormant, where IDTraders withdraws the service in your country, or for any other reason on 30 days' notice.
23.3 On suspension, IDTraders may freeze all wallets and copies and withhold withdrawals until its review is complete. On termination, IDTraders may close all positions and copies at the prices then available, end all packages under the Package Terms, deduct any amount due to it, and pay any remaining balance to your withdrawal address, subject to any hold required by law or by an open review.
23.4 Clauses 1, 3, 7.9, 13, 14.6, 16, 19, 20, 21, 22, 23.4, 24 and 25, and every other clause which by its nature is intended to survive, survive termination.
24. Governing law and disputes
24.1 These Terms and every dispute or claim arising out of or in connection with them, their subject matter or their formation, including non-contractual disputes, are governed by the laws of the relevant jurisdiction, being the jurisdiction in which the operator named in clause 2.1 is incorporated or licensed, as published on the Legal & Licensing page from time to time, without regard to conflict-of-law rules.
24.2 Before starting any legal proceedings you must first use the complaints procedure in clause 19 and allow IDTraders 30 days from acknowledgement to resolve the matter.
24.3 Any dispute not resolved under the complaints procedure shall be finally settled by binding arbitration by a single arbitrator, conducted in English, at a seat and under rules designated by IDTraders in accordance with the law named in clause 24.1. Judgment on the award may be entered in any court having jurisdiction. Nothing in this clause prevents IDTraders from seeking urgent injunctive relief, or from bringing a claim to recover a debt, in any court of competent jurisdiction.
24.4 Every claim must be brought individually. You waive any right to bring or take part in a class, collective or representative action against IDTraders to the fullest extent permitted by law.
25. General
25.1 These Terms, together with the other documents, are the entire agreement between you and IDTraders about the platform and replace every earlier agreement, statement or understanding.
25.2 IDTraders may amend these Terms and the other documents at any time by publishing the amended version on the platform. Material changes are notified by e-mail or portal notice. The amended version applies from its published date; your continued use of the platform after that date is acceptance of it. If you do not accept a change you must stop using the platform and close your account before the change takes effect.
25.3 IDTraders may assign, transfer or novate its rights and obligations under these Terms to any affiliate or successor, including a licensed entity published on the Legal & Licensing page, by notice to you. You may not assign or transfer any right or obligation under these Terms.
25.4 A failure or delay by IDTraders to exercise any right is not a waiver of it. A waiver on one occasion is not a waiver on any other.
25.5 If any clause or part of a clause is held to be invalid or unenforceable, it is severed and the rest of these Terms continue in full effect.
25.6 Nothing in these Terms creates a partnership, joint venture, agency, fiduciary or employment relationship between you and IDTraders. A master or an IB is an independent participant and not an agent of IDTraders.
25.7 IDTraders is not liable for any failure or delay caused by an event beyond its reasonable control.
25.8 No person other than you and IDTraders has any right to enforce any term of this agreement, except that the persons named in clause 21.2 may enforce clauses 21 and 22.

26. Acceptance
26.1 By opening an account, logging in, making a deposit, placing an order, following a master trader, taking a package, joining the IB program or otherwise using the platform, you confirm that you have read these Terms and every other document in full, that you understand them, and that you agree to be bound by them.
26.2 You confirm in particular that you have read and accepted the Risk Disclosure, that you understand that you can lose all of the funds you allocate, that no return is guaranteed, and that every decision to trade, follow, allocate, lock or withdraw is yours alone.
